Mr. Wang Cheng, aged 40, has extensive experience in areas including corporate management, opportunistic investments and operation of non-performing assets. Mr. Wang has served as the deputy general manager of Asset Preservation Department II of China CITIC Financial Asset Management Co., Ltd. (the shares of which are listed on the Stock Exchange, stock code: 2799) (“CITIC Financial AMC”), an ultimate controlling shareholder of the Company, since February 2023, and the deputy general manager (spearheading business operations since December 2023) of China CITIC Financial AMC International Holdings Limited (“CFAIH”), an indirect controlling shareholder of the Company, since May 2023. Mr. Wang was the general manager of the audit department (office of the supervisory board), the general manager of the opportunistic investments department and the assistant to the general manager of Huarong Rongde Asset Management Co., Ltd., a wholly-owned subsidiary of CITIC Financial AMC (“Rongde”), from July 2016 to February 2023, and has worked in the legal affairs department and office of the supervisory board and the office of CITIC Financial AMC from June 2010 to July 2016 successively. Mr. Wang obtained a bachelor’s degree in law from China University of Political Science and Law in 2006 and a master’s degree in law from Peking University in 2008, with extensive legal knowledge. Mr. Wang has served as a non-executive director of Qianhai Ark Asset Management since April 2024. He was appointed as a non-executive director of Beijing Energy International Holding Co., Ltd. (HKEX: 686) with effect from 8 August 2024.

Ms. Tan Jieyu, aged 39, has been acting as a non-executive Director of the Company from 16 December 2024. Ms. Tan has extensive experience in human resources management. From August 2011 to June 2024, Ms. Tan served successively as deputy senior manager, senior manager and division head of the human resources department of China CITIC Financial AMC. She has been the general manager and head of the corporate governance and human resources department of CFAIH since June 2024. Prior to joining China CITIC Financial AMC, Ms. Tan worked as the head of human resources of Huahang Property Company Limited under China Aerospace Science & Industry Corporation from August 2008 to July 2011. Ms. Tan graduated from Renmin University of China with a bachelor’s degree in Management in 2008 and obtained a master’s degree in Finance from Queen’s University in 2021, and she has extensive knowledge in human resources management and finance.

Mr. Chen Qinghua, has been acting as an executive Director and Chief Executive Officer of the Company from 17 June 2022. He is also the Chairman of the Executive Committee and a member of the Risk Management Committee and the Sustainable Development Committee. Currently, he is also a director of each of Huarong International Securities Limited, Huarong International Asset Management Limited, and Huarong International Capital Limited, which are wholly-owned subsidiaries of the Company. Mr. Chen has extensive experience in the governance, asset management, risk management and legal affairs of listed companies in Hong Kong. He has been deputy general manager of CFAIH since December 2020, and has concurrently served as general manager of the asset protection department and general manager of the domestic business department. From June 2022 to June 2023, he also served as a director of CFAIH. Mr. Chen joined HRIV as deputy general manager in December 2016, overseeing the company’s asset management department, M&A financing department, direct investment department and capital markets department. From 9 December 2019 to 31 December 2020, he also served as an executive director of HRIV. Prior to that, Mr. Chen worked with China Development Bank Financial Leasing Co., Ltd. (國銀金融租賃股份有限公司) from May 2008 to December 2016 successively as general manager of the legal department, general manager of risk management department, office director and director of the board office. Mr. Chen graduated from Zhongnan University of Economics and Law in 2001 with a bachelor’s degree in law and obtained an EMBA degree from Peking University’s Guanghua School of Management in 2017.

Mr. Lu Xinzheng, aged 43, has been acting as an executive Director of the Company from 17 June 2022. He is also a member of each of the Executive Committee, the Risk Management Committee and the Sustainable Development Committee. Mr. Lu has extensive business experience in asset management, securities transaction, special opportunity investment and risk control. He joined the Group in October 2019 and is currently the deputy chief executive officer of the Company. Currently, he is also a director of each of Huarong International Securities Limited, Huarong International Asset Management Limited, Huarong International Capital Limited and Huarong International Fixed Income Fund SPC, which are wholly-owned subsidiaries of the Company. Prior to joining the Group, Mr. Lu served as the director and head of the board office of CFAIH from July to October 2019, and successively as the general manager of the business management department and administration management department and the risk director of Rongde from January 2017 to July 2019. He was deputy district governor of Pingchuan District, Baiyin City, Gansu Province from January 2015 to December 2016. He also served as a deputy manager, manager and senior deputy manager of the audit department of CITIC Financial AMC from June 2009 to December 2014. Mr. Lu graduated from Shanghai University of Finance and Economics and University of International Business and Economics with a bachelor’s degree in law, bachelor’s degree in management and master’s degree in law, he also possesses the professional legal qualification in China, all of which bring with him expertise in the financial, legal and fiscal sectors.
